The Rovio Entertainment Corporation Shareholder Nominating Committee proposes to the 2023 Annual General Meeting that the number of Board members be six (6).
The Shareholder Nominating Committee proposes to the Annual General Meeting for the re-election of Niklas Hed, Camilla Hed-Wilson, Kim Ignatius, Björn Jeffery and Langer Lee to the Board of Directors. The Shareholder Nomination Committee further proposes the election of Henna Mäkinen as a new member of the Board of Directors.
Henna Mäkinen, born 1981, is Chief Financial Officer of Supermetrics Oy. She holds a Master of Science degree. Bachelor of Economics and Master of Laws, Turku School of Economics. from the University of Turku. She has a strong CFO background and hands-on experience in growth companies, as well as extensive corporate governance experience in public companies.
Leemon Wu has advised that she will not be re-elected as a member of the board.
The Shareholder Nominating Committee proposes to the Annual General Meeting the election of Kim Ignatius as Chairman of the Board and Björn Jeffery as Vice-Chairman of the Board.
All candidates agree to the position. Of the proposed board members, Niklas Hed, Kim Ignatius, Björn Jeffery, Langer Lee and Henna Mäkinen are independent of the company and its major shareholders, and Camilla Hed-Wilson is not considered independent of the company’s major shareholders based on the overall assessment.
Regarding the selection process of board members, the Shareholder Nomination Committee recommends that shareholders express their views on the proposals as a whole at the annual general meeting.
The Shareholder Nominating Committee recommends that the monthly remuneration of the Board of Directors remain unchanged as follows:
Chairman of the Board €9,500,
EUR 7,500 for the Vice-Chairman of the Board;
€5,000 each for the other members of the board, and;
The Chairman of the Audit Committee receives additional remuneration of EUR 2,500 per month. If the chairman of the audit committee is the chairman or vice-chairman of the board of directors, no additional remuneration is required.
The company compensates board members and committee members for reasonable travel expenses incurred in connection with board or committee work.

Rovio Entertainment Corporation Chairman of the Board Kim Ignatius also participated.
