L’IMAD AD Ports Stake Rises to 98.5% as Takeover Offer Closes
The L’IMAD AD Ports Stake is set to rise above 98.5% after L’IMAD completed its voluntary tender offer for AD Ports Group. The Abu Dhabi-based investment company received acceptances for more than 23.08% of AD Ports Group’s issued shares.
L’IMAD already held a 75.42% stake through its wholly owned subsidiary, Abu Dhabi Developmental Holding Company (ADQ). The offer was priced at Dh6.25 per share. It closed at 3pm on September 15, 2026.
L’IMAD launched the cash offer on August 18. The move aimed to increase its ownership of AD Ports Group. The latest acceptances will take its holding above 98.5% once the transaction is settled.
The transaction has met its main conditions. Some regulatory and market notifications still need to be completed. These include notifications to the Capital Market Authority and the Abu Dhabi Securities Exchange.
Payment to shareholders is expected to be completed by October 9, 2026. The acquired shares are also expected to be registered under ADQ by that date.
AD Ports Group is a major ports and logistics company based in Abu Dhabi. The group operates around 40 terminals in the UAE and has a presence across nearly 50 international markets.
Its business covers ports, logistics, maritime services and related infrastructure. The company is part of L’IMAD’s Ports & Logistics platform, alongside assets such as Etihad Rail and Aramex.
The latest deal adds to L’IMAD’s recent investments in major Abu Dhabi assets. It also increases government-linked ownership of AD Ports Group to more than 98.5%. The transaction is expected to further consolidate L’IMAD’s position in Abu Dhabi’s transport and logistics sector.
